UGANDA BAATI LIMITED WARRANTY POLICY

INTRODUCTION

Uganda Baati Limited (UBL) is committed to providing high-quality products and services. This warranty policy outlines our commitment to Customers for Optima Plus, Color Plus, and Lifestile products.

SCOPE AND COVERAGE

a. This is limited to coated roofing products under Optima Plus and Color Plus:

Warranty period: 5 years for Optima Plus and 10 years for Color Plus.

  • Covers perforation due to natural weather conditions. Perforation leading to product failure transpires when the sheet is perforated due to natural weather conditions. Rust, minor corrosion on the surface, cut edges or tension bends does not constitute product failure hence no cover.
  • Covers fading and peeling as determined by international standards (ASTM D2244). Scratches on UBL products due to poor handling of product, does not constitute product failure.

    b. Lifestile:

Warranty period: 15 years for manufacturing defects. This covers;

Blow-off of tile panels by winds up to 120 mph (193 kph).

Damage from hailstones of 2.5 inches (6cm) or less.

Surface coating finish deterioration (15-year warranty).

Note: In case of separate batch procurement, what is the maximum spacing period that we can entertain? An example of a customer roofing in a phased approach and installs the roof over several months or extends a house in a span of years.  If project is in phases, warranty can be issued for each phase separately, however each phase should be roofed/ clad with sheets whose batches are produced within 30 days of each other for best outcomes. No single phase should be roofed or clad with sheets whose batches are produced >60days apart.

 

DEFINITIONS

Perforation: A small hole or row of small holes punched in a piece of sheet normally due to natural weather conditions.

Peeling: Paint delamination as observed when one coating separates from another.

 

GENERAL TERMS AND CONDITIONS

  1. Warranty applies to products manufactured and supplied by UBL or its authorized dealers. The Customer(s) is/are advised to cross-check the relevant ink-jet markings beneath every sheet purchased at the time of the purchase to ascertain the authenticity of the UBL product before use.
  2. UBL products must be handled, stored, and installed in strict conformity with UBL’s Installation, Handling, and Storage Guidelines.
  1. UBL shall at its discretion reserve the right to either: (i) Replace the Product or component(s) of the product. (ii) Repair the Product or its component or (iii) Refinish the Product or Component, or (iv) undertake such other necessary action. 
  2. The responsibility of proof of purchase in case of a quality lies with the Customer to produce a genuine original invoice from UBL or authorized dealers for purpose of quantifying the cost impact. Where there is no proof of purchase, UBL  reserves the right to reject any claim.
  3. This warranty does not cover damage due to:
    faulty installation of the product.
    corrosion or other damage sustained during transport, handling, storage, roofing or subsequent to roofing.
    Attack from chemical or other agents, paints, petrochemical substances, hydrocarbons, fumes, liquids or solids other than direct rain or run-off falling onto the product.
    Failure to install, handle or store the product in accordance to UBL’s storage guidelines.
    Failure to remove debris, swarf and or allow free drainage of water (including condensation) from all surfaces of the product.
    Deterioration of product due to contact with green lumber, treated lumber, wet cement and incompatible materials such as lead, copper, carbon, graphite or stainless steel or subjection to water runoff from such incompatible materials.
    Failure to replace corroded fasteners.
    Corrosion arising within the lapped areas of end lapped sheets.
    Marine, Severe marine, industrial or corrosive environments.
    Accidental or intentional damage by a person or animal beyond the reasonable control of UBL after the product has exited the premises of UBL.
    Force Majeure (acts or omission beyond the control of UBL).
  1. UBL shall not be responsible and/or liable for incidental, indirect, or special damage or loss of any kind whatsoever (including, but not limited to, legal fees, labor costs, logistical costs, loss of business, loss of goodwill, and such other indirect damages of whatever nature).
  2. Fading failure is confirmed through testing as per ASTM D-2244-09b standard practice.
  3. Where the Warranty claim relates to a product that is no longer in the market, UBL shall, at its discretion, remedy the claim using a similar or related product.
  4. Please attach the purchase receipt to this Warranty Card and keep it safe. If in any event warranty repair is required, the Customer must produce the purchase receipt and this warranty card.
  5. UBL is not bound by any warranties or representations, which are not recorded in this Warranty.
  6. The Product Warranty is limited to Uganda. UBL shall exercise its discretion in extending the applicability of this warranty to products sold outside Uganda.
  7. The warranty only applies to the roofing and cladding products installed within 30 days of supply.
  8. If any provision of this limited warranty is held to be invalid or unenforceable the remaining provisions shall continue in full force.
  9. The maximum claim liability cannot exceed the invoice amount. Any cost of transportation labor and other auxiliary costs are not covered under the Warranty.

LIMITED LIABILITY CLAUSE To the maximum extent permitted by applicable law, in no event shall UBL be liable for any incidental, indirect, consequential, special or punitive damages arising out of or relating to this warranty, the products or the use or inability to use the products whether based on breach of contract, tort (including negligence), strict liability or otherwise even if UBL has been advised of the possibility of such damages.

In no event shall UBL’s total liability to customers for any and all claims arising out of or relating to this warranty, shall not exceed the purchase price paid by the customer for the products giving rise to the claim.

 

SPECIFIC TERMS AND CONDITIONS FOR LIFESTILE.

  1. The warranty applies only to Lifestile product manufactured and supplied by MRM or its Dealers. The Customer is advised to cross-check for the relevant ink-jet markings beneath every tile (panel) purchased at the time of the purchase to ascertain the authenticity of the UBL product.
  2. UBL products must be handled, stored, and installed in strict conformity with UBL’s Installation, Handling, and Storage Guidelines.
  1. UBL shall at its discretion reserve the right to either: (i) Replace the Product or component(s) of the product. (ii) Repair the Product or its component or (iii) Refinish the Product or Component, or (iv) undertake such other necessary action. 
  2. Any remedial works carried out under the warranty shall not extend the term of the warranty.
  3. This warranty does not cover damages arising from below:

Color change due to normal weathering and aging, including minor granule loss, as well as deterioration of the finish resulting from improper use, handling, and cleaning.

Damage resulting from failure to follow UBL’s installation guidelines or inadequate roof pitch, or handle and store the Lifestile Product in accordance with UBL’s guidelines or failure to follow applicable building codes.

Damage resulting from defects, movement, or subsidence in the structure on which the Tiles (Panels) were installed.

Damage caused by improper foot traffic, misuse, improper handling, or neglect of or on the Tiles (Panels).

Damage or change in appearance resulting from application of cleaning solutions, paints or coatings or modifications of any kind not specifically approved in writing by UBL or its sister organizations.

Shading or discoloration or damage caused by fungus, mold, lichen or algae, or other contaminants.

 Damages resulting from modifications or changes in design and function of the panels without UBL’s prior written consent.

Damage to the tiles (panels) caused by misuse, neglect, or improper handling during or after installation or at any time thereafter.

Damage caused due to the fault of the owner, including, but not limited to damage caused by falling objects (save for hail stones as mentioned in this warranty) or by walking on the tiles (Panels) or by applying pressure on them.

Any damage caused by civil riots, terrorism, or direct human interference or accidental damage by a person or animal beyond the reasonable control of Uganda Baati Limited .

Force Majeure (acts or omission beyond the control of  UBL ).

  1. UBL shall not be responsible and/or liable for incidental, indirect, or special damage or loss of any kind whatsoever (including, but not limited to, legal fees, labor costs, logistical costs, loss of business, loss of goodwill, and such other indirect damages of whatever nature).
  2. Where the warranty claim relates to a product that is no longer in the market, UBL shall, at its discretion, remedy the claim using a similar or related product
  3. UBL  is not bound by any warranties or representations, which are not recorded in this warranty
  4. The product warranty is limited to the laws governing this country Uganda and UBL shall exercise its discretion in extending the applicability of this warranty to products sold outside Uganda.
  5. If UBL elects to replace the tiles (panels), it will attempt to replace the panels with panels of the same color and design but does not guarantee that such replacement panels will be available, and accordingly, UBL bears no responsibility for variations in color or appearance by reason of the use of a different color and design, as well as by reason of progressive color changes of the remaining panels. The limited warranty term on repaired or replacement panels will be the remaining term of the original panels, which commenced on the date of purchase of the original tiles (panels)
  6. The warranty only applies to the Lifestile product installed within 30 days of supply.
    The warranty period shall start from the date of product purchase.
  7. If any provision of this limited warranty is held to be invalid or unenforceable the remaining provisions shall continue in full force.

Note: If rainwater is collected from the roof for drinking, the water connection system should be disconnected from the tank for three good rainfalls, or hosed down, after installation of tiles and before reconnection.

 

CLAIM PROCEDURE

  1. Customer shall provide proof of purchase, clear colored photos detailing the current appearance of the defective sheets and product description at the time of reporting a complaint.
  2. All claims shall be lodged and deemed valid only if reported within the warranty period.
  3. UBL shall then reserve the right to inspect and verify claims to closure as per the company’s customer complaints’ managements procedure UBL-QMS-PR-15.

DISPUTE RESOLUTION

Any disputes arising from this warranty shall be resolved through arbitration

TRANSFERABILITY

The warranty is transferable to subsequent owners, provided UBL is notified in writing prior to the transfer.

AMENDMENTS

UBL reserves the right to modify or update this warranty policy.

 

GOVERNING LAW

This warranty policy shall be governed by and construed in accordance with the laws of Uganda.

By purchasing UBL products, Customers acknowledge understanding and acceptance of this warranty policy.

Note: This document replaces all prior warranty policies and agreements for this product in scope.
